Terms and Conditions

This Terms and Conditions document (hereinafter referred to as the "Agreement") governs the relationship between Vertu Agent, a provider of virtual staffing services (hereinafter referred to as "Vertu Agent"), and any individual or entity participating in the Referral Program (hereinafter referred to as the "Partner"). By participating in the Referral Program, the Partner agrees to the terms set forth below.

1. Referral Program Overview 

Vertu Agent provides virtual staffing services to businesses. Under this Program, the Partner agrees to refer prospective clients to Vertu Agent. In the event that a referred client signs up for services and fulfills the required payment obligations as described in this Agreement, the Partner shall be entitled to receive a referral fee.

2. Referral Fee 

• The Partner shall be eligible to receive a one-time payment of $1000 for each referred clientwho engages Vertu Agent’s services
• The referral fee will be paid once the referred client has fully paid for their second full month of service with Vertu Agent.
• The referral fee will be processed through the Partner’s PartnerStack account promptly upon meeting the conditions outlined herein. 

3. Eligibility for Referral Fee 

The Partner shall qualify for the referral fee only if the following conditions are met: 

• The referred client has not previously been a client of Vertu Agent. 
• The referred client either registers for services using the unique referral link provided to the Partner or directly contacts us.
• The referred client has successfully completed their first month of service and has made full payment for the second month, with all payments submitted on time.
• The Partner complies with all terms and conditions specified in this Agreement.

4. Referral Process 

The Partner will be provided with a unique referral link, which must be used to refer prospective clients to Vertu Agent. The Partner is solely responsible for ensuring the proper and accurate use of this referral link in all communications and referrals.

Alternatively, if the Partner directly connects Vertu Agent with prospective clients, they will become eligible for the referral fee once the referred client has successfully signed up. Payment will be processed in accordance with the terms and conditions outlined herein.

5. Payment Terms 

• Referral fees will be paid to the Partner’s PartnerStack account. 
• Payments shall be processed within seven (7) business days following the referred client’s second-month payment.

6. Taxes 

The Partner shall bear sole responsibility for any and all taxes, levies, or duties that may apply to the referral fees received under this Program, in accordance with applicable laws.

7. Termination of Agreement 

• Either party may terminate this Agreement at any time by providing written notice to the other party. 
• No referral fees shall be earned for clients referred after the effective date of termination; however, any referral fees that became payable prior to the termination date shall be disbursed in accordance with the terms of this Agreement.

8. Modifications to the Program 

Vertu Agent reserves the right to modify or terminate the Referral Program at any time, including but not limited to adjustments in referral fees. Notice of such modifications shall be provided to the Partner at least thirty (30) days prior to their effective date. 

Modifications shall not affect referral fees for clients referred prior to the effective date of the change.

9. Partner Conduct 

• The Partner agrees to promote Vertu Agent’s services in a manner that is professional, ethical, and consistent with Vertu Agent’s brand values.
• Misrepresentation, false claims, or any form of misleading promotion is strictly prohibited. 
• The Partner shall not engage in spam, unsolicited emails, or other forms of unpermitted solicitation in connection with the promotion of Vertu Agent’s services.

10. Confidentiality 

The Partner agrees to maintain the confidentiality of all proprietary and business information related to Vertu Agent, including but not limited to pricing structures, service offerings, and marketing strategies, and shall not disclose such information to any third party without prior written consent from Vertu Agent.

11. Liability 

Vertu Agent shall not be held liable for any indirect, incidental, special, or consequential damages arising out of or related to the Partner’s participation in the Referral Program.

12. Governing Law 

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

13. Exceptions 

Exceptions to this agreement may be made for partners not subscribed to PartnerStack, and these will be handled on a case-by-case basis. However, we strongly encourage partners to create a PartnerStack account to ensure timely referral payments and to receive priority according to the conditions outlined in this agreement.

Acknowledgment 

By participating in the Vertu Agent Referral Program, the Partner acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
